Terms of Service

These Terms of Service ("Terms") govern your access to and use of the SeatFill platform, operated by Idyllic Aurora Ltd, trading as Idyllic Software (company number 12021646), a company registered in England and Wales ("we", "us", "SeatFill").

By signing up for or using SeatFill, you agree to these Terms. If you are accepting on behalf of a club or organisation, you represent that you have authority to bind that organisation.

SeatFill is a B2B SaaS platform for boat clubs. It provides fleet booking management, member administration, fuel tracking, safety reporting, vessel inspection (BoatCheck), analytics, and related features.

We reserve the right to modify, suspend, or discontinue any part of the service at any time, with reasonable notice where practicable. We will endeavour to provide at least 30 days' notice of any material changes that affect your use of the platform.

Club accounts

Each subscribing club has one account ("Club Account"). The club administrator is responsible for maintaining the security of their login credentials and for all activity that occurs under the account.

You must notify us immediately at hello@seatfill.io if you suspect unauthorised access to your account.

Member accounts

Club administrators may create member accounts. Members access the platform under the authority of the club. Clubs are responsible for ensuring their members comply with these Terms.

Eligibility

You must be at least 18 years old to hold a club administrator account. The platform is not intended for use by children under 13.

Plans and pricing

SeatFill is offered on a monthly subscription basis. Current pricing is published at seatfill.io/pricing. Prices are stated in GBP and exclusive of VAT, which will be added where applicable.

Billing

Subscriptions are billed monthly in advance. Payment is processed by our payment provider (Stripe). By providing payment details, you authorise us to charge the applicable fees on a recurring basis until you cancel.

Changes to pricing

We may change subscription pricing with at least 30 days' notice. Continued use of the service after a price change takes effect constitutes acceptance of the new price.

Cancellation and refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. We do not offer pro-rata refunds for unused days in a billing period, except where required by law.

Non-payment

If payment fails, we may suspend access to the platform after a reasonable grace period. We will notify you by email before suspension.

You agree not to:

• Use the platform for any unlawful purpose or in violation of any applicable law or regulation.
• Upload or transmit any content that is defamatory, abusive, offensive, or infringes any third-party rights.
• Attempt to gain unauthorised access to any part of the platform or any other systems or networks connected to it.
• Interfere with or disrupt the integrity or performance of the platform.
• Use automated means (bots, scrapers, crawlers) to access the platform without our express written consent.
• Resell, sublicense, or otherwise make the platform available to third parties not authorised under your subscription.
• Reverse engineer, decompile, or disassemble any part of the platform.

You retain ownership of all data you upload or input into the platform. By using SeatFill, you grant us a limited licence to process that data solely to provide the service to you.

On cancellation, your data is retained for 30 days and then permanently deleted, except where retention is required by law. You may request an export of your data at any time by contacting us.

SeatFill and all associated software, design, trademarks, and content are owned by Idyllic Aurora Ltd or its licensors. Nothing in these Terms transfers any intellectual property rights to you.

We may use anonymised, aggregated data derived from platform usage to improve our services. We will never publish or share data in a way that identifies your club or members.

We aim to provide a reliable service and target high availability, but we do not guarantee uninterrupted access. Planned maintenance will be communicated in advance where possible.

We are not liable for any losses arising from service downtime, outages, or data loss caused by circumstances outside our reasonable control, including failures of third-party infrastructure providers.

To the fullest extent permitted by law:

• Our total liability to you for any claim arising under or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
• We shall not be liable for any indirect, consequential, special, or incidental loss, including loss of revenue, profit, data, or goodwill.
• We are not liable for any loss arising from your reliance on data generated by the platform, including inspection reports, analytics, or AI-generated summaries.

Nothing in these Terms excludes liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by law.

You agree to indemnify and hold harmless Idyllic Aurora Ltd, its directors, employees, and agents from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the platform, your breach of these Terms, or any content you submit.

The platform integrates with third-party services (Supabase, Vercel, Resend, Twilio, Stripe). Your use of the platform is also subject to those providers' terms. We are not responsible for the availability or conduct of third-party services.

These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

We may update these Terms from time to time. We will notify club administrators of material changes by email and update the effective date above. Continued use of the platform after changes constitutes acceptance of the updated Terms.
